These Terms of Use (“Terms”) govern your use of chemmedcorp.com and its content, forms and downloadable resources, including the Creator Starter Kit (together, the “Site”), operated by ChemMed Corp (“ChemMed,” “we,” “us”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. About the Site
The Site provides general information about ChemMed Corp and our contract manufacturing, formulation, packaging and related services, and lets businesses request quotes and download resources. The Site is intended for business use by people at least 18 years old.
2. Quotes and services
Nothing on the Site is an offer, quotation or commitment to manufacture. Submitting a quote request does not create a contract or obligate either party. Pricing, minimum order quantities, timelines, specifications, testing, ownership of formulas and all other terms of any engagement are governed solely by a separate written agreement signed by ChemMed Corp. Descriptions of capabilities, typical timelines and processes on the Site are general and may change without notice.
3. Informational content, not professional advice
Content on the Site, including the Creator Starter Kit, FAQs and articles, is for general informational purposes only. It is not legal, regulatory, medical, financial, tax or other professional advice, and it does not create a professional relationship. Product regulations, labeling and claims requirements depend on the product, its intended use and where it is sold. Before making product, labeling, marketing or investment decisions, consult qualified professionals. Any examples, estimates or worksheets are illustrations, not guarantees of cost, timing or results.
4. Regulatory and certification statements
References on the Site to FDA registration or compliance with current Good Manufacturing Practice (cGMP) describe ChemMed Corp’s facility and quality systems. FDA registration does not mean that the FDA has approved or endorsed ChemMed Corp or any product, and the FDA does not certify registration. Responsibility for the regulatory status, labeling and marketing claims of any client product is allocated in the applicable written agreement.
5. Intellectual property
The Site and its content, including text, graphics, images, logos, page designs and the Creator Starter Kit, are owned by or licensed to ChemMed Corp and protected by copyright, trademark and other laws. “ChemMed Corp” and our logo are our trademarks.
We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site and to download, print and fill in the Creator Starter Kit and other resources for your own personal or internal business use. You may not sell, republish, redistribute, modify for redistribution or remove proprietary notices from Site content, or use it to create a competing product or service, without our written permission. Sharing a link to the Site’s pages is welcome.
6. Information you submit
You are responsible for the accuracy of information you submit and for having the right to share it. Our Privacy Policy explains how we handle personal information. Please do not submit confidential formulas, trade secrets or other proprietary information through the Site’s forms; ask us for a mutual non-disclosure agreement before sharing them. Unless a written agreement says otherwise, ideas, feedback or suggestions you send us about the Site or our services are non-confidential, and we may use them without obligation to you.
7. Acceptable use
You agree not to:
- use the Site for any unlawful purpose or in violation of these Terms;
- submit false, misleading or fraudulent information, or impersonate any person or company;
- send spam, malware or automated submissions through the Site’s forms;
- attempt to gain unauthorized access to, interfere with or disrupt the Site, its hosting or related systems;
- scrape, copy or harvest Site content or contact information by automated means, except for standard search engine indexing.
8. Third-party links and services
The Site may link to or rely on third-party websites and services, such as our email provider and social networks. We do not control and are not responsible for their content, policies or practices, and your use of them is at your own risk and subject to their terms.
9. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components, or that content is complete or current. Warranties for manufactured products, if any, are provided only in the applicable written agreement.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CHEMMED CORP AND ITS OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you. This section does not limit liability under any separate written manufacturing or supply agreement, which governs on its own terms.
11. Indemnification
You agree to indemnify and hold harmless ChemMed Corp and its officers, employees and agents from claims, losses and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or misuse of the Site.
12. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising from or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Orange County, California, and you consent to their jurisdiction.
13. Changes and termination
We may update these Terms at any time by posting a revised version on this page and updating the “Last updated” date. Your continued use of the Site after changes take effect means you accept them. We may suspend or discontinue the Site, or your access to it, at any time.
14. General
If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and ChemMed Corp about the Site, and they do not modify any separate written agreement between us.
